Terms of Service

These Terms govern your use of VenueIQ ("VenueIQ," "we," "us," "our"). By signing up for the pilot or using the service, you agree to these Terms. If you don't agree, please don't use VenueIQ.

1. Who can use VenueIQ

VenueIQ is built for independent Australian hospitality venues (cafes, bars, restaurants). To create an account you must be at least 18, authorised to act on behalf of the venue, and able to enter binding agreements under Australian law.

2. The pilot programme

During the pilot, we provide access to VenueIQ at no charge for the period specified in your onboarding email (typically three months). In exchange you agree to:

  • Submit your actual revenue figures after each shift, where practicable.
  • Participate in periodic check-in calls or written feedback sessions.
  • Allow us to use anonymised, aggregated insights from your usage to improve the product. We will never publish your venue name or trading data without written permission.

Either party can end the pilot at any time. After the pilot we will discuss continued access; there is no obligation to continue.

3. What VenueIQ does (and doesn't do)

VenueIQ produces revenue forecasts and operational suggestions using artificial intelligence. These are decision-support tools. They are not guarantees, financial advice, or substitutes for your professional judgement. You remain solely responsible for staffing, prep, pricing, and every other operational decision in your venue.

We strive for accurate forecasts but cannot guarantee accuracy. Forecasts improve over time as we learn your venue's patterns. Early forecasts may be less accurate.

4. Your data

You retain ownership of all data you provide to VenueIQ, including trading history, daily notes, and venue profile information. By using VenueIQ you grant us a non-exclusive licence to process this data solely to provide the service to you.

We describe what data we collect and how we use it in our Privacy Policy, which forms part of these Terms.

5. What we ask of you

  • Don't share your account credentials or let unauthorised people use your account.
  • Don't reverse-engineer, copy, or attempt to extract the underlying prediction model or prompts.
  • Don't use VenueIQ to do anything illegal, defamatory, or harmful to others.
  • Don't use the service to build a competing product.

6. Service changes and downtime

VenueIQ depends on third-party services (Anthropic, Open-Meteo, Supabase, Vercel, Railway). We'll do our best to minimise downtime but cannot guarantee uninterrupted access. We may add, change, or remove features at any time, particularly during the pilot phase as we learn what works.

7. Liability

To the extent permitted by Australian law, our total liability to you is limited to the amount you have paid us in the twelve months before the claim arose. During the free pilot period, this means our total liability is zero.

Nothing in these Terms excludes the consumer guarantees you have under the Australian Consumer Law. Where a guarantee applies and cannot be excluded, our liability is limited to re-supplying the service or paying the cost of re-supply.

We are not liable for indirect, consequential, or special damages, including loss of profit, loss of revenue, or business interruption, even if those losses were foreseeable.

8. Termination

You can stop using VenueIQ at any time and request account deletion through your settings page or by emailing hello@venueiq.xyz.

We can terminate or suspend your access if you breach these Terms or use the service in a way that risks our infrastructure or other customers. Where practical we will give you reasonable notice.

9. Changes to these Terms

We may update these Terms as the product evolves. We'll let pilot venues know about material changes by email and update the 'Last updated' date above. Continued use after a change means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of Victoria, Australia. Any dispute is subject to the exclusive jurisdiction of the courts of Victoria.
